LTA Service Agreement [Gold]


The following is an Agreement between Unfair Marketing Advantages Ltd, having an address of 85 Great Portland Street, First Floor, London, W1W 7LT and (Client), having an address of

I.  Unfair Marketing Advantages agrees:

  1. To provide the Client access to its proprietary software platform designed to enhance business operations, client relationship management, lead generation, and other related activities
  2. Real-time reporting dashboard is given to the Client to ensure all activities and processes are monitored
  3. Lead communication, follow-up, calendars, reviews, funnels can be managed through the platform
  4. Continually oversee and manage software account for incremental gains.
  5. To assist in determining the best promotions for generating more appointments.
  6. That it is simply a Contractor under this Agreement and shall be responsible for payment of any taxes and/or insurance as required by UK law.

II.  Client agrees to:

  1. Provide all necessary information for onboarding onto the platform.
  2. (If applicable) Approve the content promptly.
  3. Pay Unfair Marketing Advantages a management fee every 30 days. This will be automatically deducted from the Client’s payment method on file.
  4. Pay for any additional services that they require that are not outlined in this service agreement and/or have not been agreed in writing by Unfair Marketing Advantages. All services outside the scope of this agreement will be billed at £250 per hour.

III.  Both parties agree:

  1. To act in good faith and carry out their responsibilities to the best of their abilities.
  2. If litigation is necessary this Agreement will be interpreted based on the laws of England and Wales, regardless of any conflict of law issues that may arise.  The Parties agree the dispute will be resolved at a court of competent jurisdiction in England.
  3. That each party shall maintain ownership of its respective intellectual property. Any Client promotional copy modified by Unfair Marketing Advantages for the benefit of the marketing campaign shall remain in the sole ownership of Client.
  4. That each party shall maintain the confidential information of the other in confidence, until such time that the confidential information may later become available to the public, or that such disclosure is required by law.
  5. That this agreement shall stay in place for a minimum of ninety (90 days).
  6. That either party can cancel this Agreement at any time after the minimum time has been served, upon providing thirty (30) days' written notice to the other.  Upon Termination, Unfair Marketing Advantages shall still be owed compensation for any services that occurred outside the scope of this agreement before termination.
  7. No waiver by either party of any default shall be deemed as a waiver of any default of the same or other provisions of this Agreement.
  8. If any provision is held invalid or unenforceable, such invalidity shall not affect the validity or operation of any other provision, and such invalid provision shall be deemed to be removed from the Agreement.
  9. That this agreement is not an exclusive arrangement. The Parties agree that they are free to enter into other similar agreements with other parties.
  10. That the Parties to this Agreement are independent contractors which means there are no strings attached. Neither Party is an agent, representative, partner, or employee of the other Party.

IN WITNESS WHEREOF, both and Unfair Marketing Advantages Ltd have hereunto executed this AGREEMENT as of the date indicated below.
