Service Agreement

The following is an Agreement between Unfair Marketing Advantages Ltd., having an address of 3125 Chynoweth House, Trevissome Park, Truro, TR4 8UN and Oncover Insurance Services Ltd, having an address of 89c College Place, London, NW1 0DR

I. Unfair Marketing Advantages agrees:

To provide advertising management services to generate insurance leads for Oncover Insurance Services by creating advertising campaigns, landing pages/funnels.
To research your target market and identify the best targeting options
To create the campaign creatives, setup the campaigns, test everything before publishing, and then publish the campaigns live
Analyze campaign performance to determine which creatives and which segments are winners and losers.
Continually optimize campaigns for incremental gains and to prevent ad fatigue.
To assist in determining the best advertising promotions for all campaigns.
That it does not have any authority to communicate with any leads generated on Oncover Insurance Services’ behalf.
That it is simply a Contractor under this Agreement and shall be responsible for payment of any and all taxes and/or insurance as required by UK law.
To submit all adverts and landing pages for approval prior to publishing, and that no adverts are to be made live without being agreed to by an Oncover Insurance Services staff member.

II. Oncover Insurance Services agrees to:

Use tracking components for each generated lead in order to accurately measure sales that result from these lead generation campaigns.
Approve the copy for all adverts and landing pages in a timely manner.
Appoint a staff member to act as the main contact to Unfair Marketing Advantages.
Pay Unfair Marketing Advantages 25% of the gross revenue of each converted lead in perpetuity, produced by the lead generation campaign created by Unfair Marketing Advantages. Unfair Marketing Advantages’ 25% share of the revenue are to be paid monthly.

III. Both parties agree:

To act in good faith and carry out their responsibilities to the best of their abilities.
If litigation is necessary this Agreement will be interpreted based on the laws of England and Wales, regardless of any conflict of law issues that may arise. The Parties agree the dispute will be resolved at a court of competent jurisdiction in England and Wales.
That each party shall maintain ownership of its respective intellectual property. Any Oncover Insurance Services promotional copy modified by Unfair Marketing Advantages for the benefit of the advertising campaign shall remain to be the sole ownership of Oncover Insurance Services.
That each party shall maintain the confidential information of the other in confidence, until such time that the confidential information may later become available to the public, or that such a disclosure is required by law.
That either party can cancel this Agreement at any time upon providing thirty (30) days written notice to the other. Upon Termination, Unfair Marketing Advantages shall still be owed compensation for any sales from leads generated that occurred prior to termination.
No waiver by either party of any default shall be deemed as a waiver of any default of the same or other provisions of this Agreement.
If any provision is held invalid or unenforceable, such invalidity shall not affect the validity or operation of any other provision and such invalid provision shall be deemed to be removed from the Agreement.
That this Agreement is not an exclusive arrangement. The Parties agree that they are free to enter into other similar agreements with other parties
That the Parties to this Agreement are independent contractors which means there are no strings attached. Neither Party is an agent, representative, partner, or employee of the other Party.

IN WITNESS WHEREOF, both Oncover Insurance Services Ltd and Unfair Marketing Advantages Ltd have hereunto executed this AGREEMENT as of the date indicated below.
